Sales Representative Agreement

This Agreement is made effective as of the date signed below, by and between Alekos Designs™ LLC, hereafter referred to as "Company," and the undersigned Sales Representative, hereafter referred to as "Representative."

1. Commission Structure:

The Representative will earn commissions from new clients they bring to Alekos Designs LLC based on the following rates:

• 10% on New Monthly Marketing Plans

• 10% on New Monthly Website Plans

• 5% on New Logo Projects

• 5% on New Digital Projects

• 5% on New Print Projects

• 5% on New Video Projects

Exclusions: Commissions do not apply to website add-ons, website activation fees, odd jobs not categorized in the commission structure above, including one-time or miscellaneous tasks not covered by marketing, website, logo, digital, print, or video services. Commissions do not apply to printing and shipping costs, tips provided by the client, or any third-party expenses paid directly by the client. The commission percentage is calculated based on the price of the eligible service, excluding transaction fees. Commissions do not apply to companies in which the Representative is an owner, co-owner, partner, or otherwise holds a financial interest.

2. Payment:

Commissions will be paid via PayPal within thirty (30) days of Alekos Designs™ receiving the client's full payment for the respective project or subscription. Commissions are only payable on projects and services that have been paid in full by the client. If a client makes a partial payment, commissions will not be paid until the outstanding balance has been paid in full. Recurring commissions are only applicable while the referred client remains an active paying client of Alekos Designs™. If the client cancels, suspends, disputes payment, receives a refund, or otherwise discontinues services, no further commissions will be earned or paid for that client. Representatives are responsible for maintaining a valid PayPal account and providing accurate payment information.

3. Client Ownership:

The Representative retains commission rights for any future projects generated from clients they introduce, provided the Representative remains in the role at the time of the project. Upon the Representative’s departure, any future commissions from introduced clients will no longer be applicable.

4. Contract Length & Renewal:

This Agreement will be reviewed every six (6) months. Renewal is subject to performance evaluation and mutual agreement. Areas for improvement and potential changes to the commission structure will be discussed at the time of review.

5. Sales Targets:

Sales Representatives are expected to maintain a minimum sales target of one (1) new paying client per month. Failure to consistently meet this sales target may result in the termination of this Agreement, at the discretion of Alekos Designs™ LLC.

6. Non-Compete or Exclusivity Clause:

The Representative agrees to exclusively recommend Alekos Designs LLC for services related to websites, logos, digital, print, and video. During the term of this Agreement, and for a period of three (3) months after termination, the Representative will not promote or recommend competing services in these categories without prior written consent from the Company.

7. Non-Solicitation:

During the term of this Agreement, and for a period of three (3) months following termination, the Representative agrees not to solicit Alekos Designs’ clients for personal business or competing services.

8. Client Transfer:

Upon termination, the Representative agrees to provide all relevant information for clients they introduced to ensure a smooth transition and continued service.

9. Confidentiality:

The Representative agrees to maintain confidentiality regarding all client information, sales data, and proprietary Company information. Such information shall not be used or disclosed for any purpose other than the fulfillment of duties under this Agreement.

10. Termination:

Either party may terminate this Agreement by providing 30 days' written notice. Upon termination, the Representative will be entitled to commissions only for projects fully paid by the client prior to the termination date.

11. Right to Modify Terms:

Alekos Designs™ LLC reserves the right to modify or amend the terms of this Agreement at any time. Any changes to the Agreement will be communicated to the Representative in writing, and continued participation as a Sales Representative following such notice shall constitute acceptance of the modified terms.

12. Dispute Resolution:

Any disputes arising out of or related to this Agreement shall be resolved through mediation or arbitration prior to any legal action being taken.

13. Independent Contractor Status:

The Representative is an independent contractor and not an employee of Alekos Designs™ LLC. As such, the Representative is responsible for all applicable taxes and withholdings. Alekos Designs LLC will request a completed IRS Form W-9 upon acceptance of this Agreement.

14. Indemnification:

The Representative agrees to indemnify and hold harmless Alekos Designs LLC from any claims, damages, or losses arising from the Representative's actions in connection with this Agreement.

15. Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida.

Acknowledgment and Agreement:

By submitting this form and signing below, I, the undersigned Sales Representative, acknowledge that I have read, understood, and agree to all the terms and conditions outlined in this Sales Representative Agreement with Alekos Designs™ LLC. I further acknowledge that my participation as a Sales Representative is subject to the terms described herein.
